1. Introduction
These Terms of Service govern the use of the NET Backup Vault platform and related services provided by Metanoia AS ("Metanoia", "we", "us", or "our").
By creating an account, accessing NET Backup Vault, or using the service, you agree to these Terms.
If you use NET Backup Vault on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
2. Service Description
NET Backup Vault is a cloud-based software platform for backup, restore, monitoring, export, and configuration management of Cisco Meraki environments.
The service may include:
- Scheduled configuration backups
- Manual backups
- Configuration restore operations
- Configuration comparison and change history
- Audit logging
- Alerts and notifications
- API integrations
NET Backup Vault depends on third-party systems and APIs, including Cisco Meraki APIs.
3. Eligibility and Authority
You must:
- Be at least 18 years old
- Have authority to manage the Cisco Meraki environments connected to NET Backup Vault
- Use NET Backup Vault only in compliance with applicable laws and regulations
- Ensure that your organisation has authorised the use of NET Backup Vault
You may not use NET Backup Vault if you are prohibited from receiving or using software services under applicable law.
4. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials
- Managing users, roles, and permissions within your organisation
- Ensuring that connected Cisco Meraki environments are authorised for use with NET Backup Vault
- Reviewing restore actions before execution
- Testing restore procedures where appropriate
- Ensuring that only authorised personnel can perform sensitive actions
You are responsible for all activity performed through your account.
5. API Access and Integrations
To use NET Backup Vault, you may need to provide API credentials or authorise integrations with Cisco Meraki systems.
You acknowledge that:
- NET Backup Vault relies on third-party APIs outside Metanoia's control
- API functionality may change without notice
- Feature availability may depend on third-party systems
- Third-party outages, limits, rate limits, or API changes may affect NET Backup Vault
- Metanoia is not responsible for failures caused by third-party systems outside its control
You remain responsible for complying with Cisco's applicable terms, licensing requirements, and usage policies.
6. Backup Operations
NET Backup Vault is intended to help customers create and manage backups of supported Cisco Meraki configuration data.
Unless otherwise stated in the selected plan or a written agreement:
- NET Backup Vault performs scheduled backups daily
- Manual backups may be available
- Backup retention is based on the selected plan
- The default backup retention period for active customers is 12 months
Backups may not include every possible setting, object, state, dependency, or runtime condition in a Cisco Meraki environment. The scope of backup coverage may depend on available APIs, product limitations, customer permissions, and supported configuration types.
7. Restore Operations
Restore operations may change live network configurations.
You acknowledge and agree that:
- Restore operations may affect network availability, security, routing, wireless access, firewall rules, VLANs, device settings, or other operational behaviour
- Incorrect restore operations may cause service disruption
- Restore operations should be reviewed before execution
- Restore should be tested in non-production environments where appropriate
- NET Backup Vault may require administrator confirmation before restore actions are executed
NET Backup Vault does not guarantee that a restore operation will fully reproduce a previous network state in all situations.
8. Customer Responsibilities
You are responsible for:
- Verifying that backups meet your organisation's operational needs
- Maintaining appropriate internal change management procedures
- Maintaining your own disaster recovery and business continuity procedures
- Ensuring that restore operations are authorised and reviewed
- Keeping independent backups where required by your internal policies, contracts, laws, or regulations
- Ensuring that your use of NET Backup Vault is appropriate for your network environment
NET Backup Vault is a configuration backup and restore tool. It is not a substitute for a complete business continuity, disaster recovery, security monitoring, or network management programme.
9. Acceptable Use
You may not:
- Attempt to gain unauthorised access to NET Backup Vault or related systems
- Use NET Backup Vault to access environments you are not authorised to manage
- Interfere with platform availability, performance, or security
- Reverse engineer, decompile, or attempt to extract source code
- Circumvent access controls or security measures
- Use automated systems to abuse APIs or infrastructure
- Use NET Backup Vault for unlawful purposes
Metanoia may suspend or terminate access if these Terms are violated or if continued access creates a security, operational, or legal risk.
10. Intellectual Property
NET Backup Vault, including its software, platform, documentation, design, workflows, branding, and related materials, is owned by Metanoia AS or its licensors.
Subject to these Terms, Metanoia grants you a limited, non-exclusive, non-transferable right to use NET Backup Vault during your subscription period.
You retain ownership of your configuration data, account data, and uploaded content.
11. Data and Security
Metanoia implements reasonable technical and organisational measures to protect customer data.

You acknowledge that no system can be guaranteed to be completely secure or uninterrupted.
12. Fees, Subscriptions, Trials and Cancellation
NET Backup Vault may be offered through monthly subscriptions, annual subscriptions, free trials, paid trials, or other commercial plans presented at the time of purchase.
Unless otherwise stated:
- Monthly subscriptions renew automatically each month
- Annual subscriptions renew automatically each year
- Trial access is limited to 14 days
- Trial access may be limited by features, number of devices, number of organisations, backup frequency, restore functionality, or other usage limits
- Metanoia may suspend or end trial access if the service is misused or if the trial period expires
- Customers may cancel renewal before the next billing period
- Cancellation stops future renewal but does not automatically refund fees already paid
- Fees are non-refundable unless required by law or expressly agreed in writing
- Failure to pay may result in suspension or termination of access
13. Data Retention After Cancellation or Termination
After cancellation or termination, NET Backup Vault may retain customer account data, configuration backups, logs, and related service data for up to 30 days, unless a longer retention period is required by law, security obligations, dispute handling, or written agreement.
After the retention period, Metanoia may permanently delete the data.
Customers are responsible for exporting any required data before cancellation or termination takes effect.
14. Service Availability and Support
Metanoia aims to provide reliable service availability but does not guarantee uninterrupted or error-free operation.
Unless otherwise stated in a separate written agreement:
- Paid plans target 99.5% monthly service availability
- Support is available on business days from 09:00 to 16:00 CET/CEST
- Support requests should be sent to [email protected]
- Scheduled maintenance, third-party outages, force majeure events, and customer-side issues are excluded from availability calculations
Service levels may be described in separate SLA documentation.
15. Suspension and Termination
You may stop using NET Backup Vault at any time.
Metanoia may suspend or terminate access if:
- These Terms are violated
- Security risks are identified
- Payment obligations are not met
- The service is used unlawfully
- Continued access may harm NET Backup Vault, Metanoia, third-party systems, or other users
Upon termination, access to NET Backup Vault may be removed, data may be deleted according to the applicable retention period, and outstanding payment obligations remain due.
16. Disclaimer of Warranties
NET Backup Vault is provided "as is" and "as available".
To the maximum extent permitted by law, Metanoia disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
Metanoia does not guarantee that all backups will be successful, all restore operations will function as expected, or that NET Backup Vault will prevent outages, configuration errors, security incidents, data loss, or operational disruption.
17. Limitation of Liability
To the maximum extent permitted by law:
- Metanoia is not liable for indirect, incidental, consequential, or special damages
- Metanoia is not liable for loss of revenue, profits, business, goodwill, data, network availability, or operational continuity
- Metanoia's total aggregate liability under these Terms is limited to the amount paid by the customer to Metanoia for NET Backup Vault during the twelve months preceding the claim
You acknowledge that network configuration backup and restore operations involve operational risk.
18. Indemnification
You agree to indemnify and hold harmless Metanoia AS from claims arising from:
- Your misuse of NET Backup Vault
- Violation of these Terms
- Unauthorised access to Cisco Meraki environments
- Unauthorised restore operations
- Violation of third-party rights, laws, or regulations
19. Changes to NET Backup Vault or These Terms
Metanoia may modify NET Backup Vault features, pricing, documentation, and these Terms.
Material changes will be communicated through NET Backup Vault, by email, or through the Metanoia website.
Continued use after changes become effective constitutes acceptance of the updated Terms.
20. Separate Written Agreements
Certain commercial, technical, support, hosting, or service-level terms may be governed by a separate written agreement between Metanoia and the customer.
If a separate written agreement conflicts with these Terms, the separate written agreement takes precedence for the specific customer and scope covered by that agreement.
21. Governing Law and Court Venue
These Terms are governed by the laws of Norway.
Any disputes arising from or relating to these Terms shall be resolved by Stavanger District Court, unless mandatory law requires another venue.
